This is the official website of the ASPC/AMHR Bylaws Committee.


Its purpose is to serve as a conduit to the membership for input and comment regarding the efforts mandated to the bylaws committee.

The Bylaws are the foundation of any organization. They set forth the means and manner as well as establish a process by which this organization operates. By their existence these bylaws represent and govern the will, intent and purpose of membership of the ASPC/AMHR. Bylaws are legally binding and as such must be clear, coherent and concise. The Bylaws committee has been formed for the purpose of reviewing, maintaining and modifying  the bylaws to ensure they fulfill these requirements.  The bylaws of the ASPC/AMHR can be modified or altered by 2 (two) means as established in the Articles of Incorporation of the ASPC/AMHR.
Article IX – Bylaws

For the purpose of regulating and transacting the business of this Club, Bylaws shall be adopted by the Board of Directors, as the same may be necessary and advisable from time to time, as provided by these Articles and the law of the State of Illinois. Any such By-law may be amended or repealed by the Board of Directors, or a majority vote of those present and voting at any annual meeting. All Bylaws existing at the time of the adoption of these Articles shall remain in full force and effect until the same shall have been changed or amended by action of the Board of Directors or the membership.

These provisions establish the process by which Bylaws changes are and can be made. The members control this by either majority vote at any annual meeting or through their Board of Directors. The Bylaws committee serves to insure the context of the bylaws is correct and complete. It does not control the content as that authority can only be exercised in the manner above.

This site is intended for the purpose of informing the membership of  proposed changes or modification to the Bylaws and provide a means to obtain a polling from time to time on conceptual and fundamental issues in order to allow this committee to move forward with some sense that those changes represent the will or intent of the membership. These polls are not the final authority and any proposed changes will only become final when the membership exercises its authority within the processes spelled out above.

The present task and mandate of the Bylaws committee is to review and create a complete revision of the existing bylaws. Over the years our bylaws have become conflicting and contradicting and in some cases outdated. It is our goal to present a complete and revised set of bylaws for consideration to the membership at the 2010 annual meeting. The importance of each members participation in this process cannot be overstated.
